The transaction strengthens Scala’s position in one of the most sensitive segments of the logistics chain: the transportation of fuels and liquid chemical bulk, an activity subject to strict regulatory oversight, operational risk controls and sector-specific compliance requirements.

Scala Logística has acquired an equity stake in Transpodiesel Ltda., a company specialised in the handling and transportation of hazardous liquid cargo and fuels.

The transaction strengthens Scala’s position in one of the most sensitive segments of the logistics chain: the transportation of fuels and liquid chemical bulk, an activity subject to strict regulatory oversight, operational risk controls and sector-specific compliance requirements.

Transpodiesel operates in a niche characterised by high barriers to entry, driven by stringent safety standards, licensing requirements and risk exposure inherent to the transport of hazardous materials. These elements make transactions involving operators in this segment structurally more complex, particularly in the assessment of operational liabilities and regulatory compliance.

The deal required a detailed legal due diligence focused not only on corporate matters, but also on regulatory permits, environmental exposure and operational risk allocation, as well as the structuring of contractual protections aligned with the nature of the business.

For Scala, the acquisition represents a strategic move to strengthen its presence in a market where scale must be combined with technical capability and regulatory reliability.

Martinelli Advogados advised Scala throughout all stages of the transaction, including initial negotiations, legal due diligence and the structuring and negotiation of the definitive agreements.
